ChildWell Plus Foundation is governed by a Board of Trustees under its constitution. This page sets out how decisions are made, how money is handled, and the policies everyone at the Foundation works under.

Structure
A Board that governs, a director who manages.
Board of Trustees
Five to seven trustees. Sets strategy, approves policies and budgets, oversees finances and programmes, and makes sure the Foundation complies with the law.
Executive Director
Runs the Foundation day to day: carries out the Board's decisions, leads staff, manages resources, coordinates programmes, and reports to the Board. Does not vote on the Board.
Staff and volunteers
Employees, consultants, interns, and volunteers, engaged under policies the Board approves.
Chairperson
Leads the Board and chairs its meetings. Has the casting vote when a decision is tied.
Vice Chairperson
Assists the Chairperson and acts in the Chairperson's absence.
Secretary
Keeps the records and minutes of meetings, gives notice of meetings, and manages the Foundation's official correspondence.
Financial Secretary
The constitution names this office the Treasurer. Oversees the Foundation's finances and makes sure proper financial records are kept and reported to the Board.

Carry out the duties the Board assigns to them.

Plus an annual meeting to review performance, finances, and strategic direction.

Half of the serving trustees plus one must be present for the Board to decide.

Term of a trustee
Renewable once. A trustee who misses three meetings in a row without good reason may lose the seat.

To remove a trustee
Two thirds of all serving trustees, after written notice of the allegations and a fair chance to respond.
- Decisions are taken by simple majority.
- Special meetings are called by the Chairperson, or at the written request of a third of the trustees.
- The constitution can be changed only by two thirds of all serving trustees, with 14 days' notice of the change.
- No change to the constitution may ever allow the Foundation's income or assets to be paid out to individuals.
Money
How funds are handled.
From the Foundation's constitution. If the Foundation ever closes, what remains after its debts goes to registered non-profits with similar aims, never to individuals.
- Used only for the objectives.All funds, income, and assets go to the Foundation's objectives. Nothing is paid out to trustees or anyone else, except reasonable pay, approved expenses, or payment for work genuinely done.
- Held in the Foundation's own name.Bank accounts are in the Foundation's name, and every withdrawal is authorised by signatories the Board appoints.
- Properly recorded.Books of account cover all income, spending, assets, and liabilities, and the Financial Secretary reports them to the Board.
- Checked every year.The accounts are audited or independently reviewed each year by a qualified auditor the Board approves.
- Reported every year.The Executive Director, with the Financial Secretary, prepares annual programme and financial reports for the Board to review and approve.

Trustees, staff, volunteers, and consultants are all bound by these commitments.
Child safeguarding
The Foundation keeps and enforces a Child Safeguarding Policy to protect children from abuse, neglect, exploitation, discrimination, and harm. No child's image or story is published without written consent from a parent or guardian.

Anyone with an actual or possible conflict of interest declares it and stays out of the related decision.
Anti-fraud and anti-corruption
Measures to prevent, detect, and respond to fraud, corruption, bribery, and misuse of resources.
Data protection
Personal data, confidential information, and records are protected in line with the law and the Foundation's data protection policy.
Non-discrimination
No one is treated differently because of sex, age, disability, ethnicity, religion, or nationality, in programmes, hiring, or partnerships.
Research ethics
All research the Foundation carries out or supports follows recognised ethical principles, the law, and the requirements of ethics review bodies.
Monitoring, evaluation, and learning
Systems to track performance, measure impact, and improve the work over time.
Risk management
The Board oversees the risks to the Foundation's work, resources, and reputation.
